TERMS OF SERVICE

CarbonFlow AI Ltd

 

Effective Date: February 2026

These Terms of Service ("Terms") govern access to and use of the CarbonFlow AI platform (“Platform”) provided by CarbonFlow AI Ltd, a company incorporated in England and Wales (“CarbonFlow”, “we”, “us”, “our”).

​

By accessing or using the Platform, the subscribing business entity (“Customer”, “you”) agrees to be bound by these Terms.

1. Definitions

​

“Platform” means the CarbonFlow AI software-as-a-service platform, including dashboards, analytics tools, reporting modules, benchmarking tools, AI assistants, APIs and associated services.

“Customer Data” means all data uploaded or submitted by Customer.

“Anonymised Data” means aggregated and anonymised data derived from Customer Data that does not identify Customer.

“Subscription” means a paid or trial access plan to the Platform.

“Services” means access to the Platform and associated support services.

2. Nature of Services

​

2.1 CarbonFlow provides a software platform only.

 

2.2 The Platform:

  • Processes emissions-related data

  • Generates carbon accounting outputs

  • Provides benchmarking insights

  • Produces AI-generated analyses and recommendations

 

2.3 The Platform does not provide:

  • Legal advice

  • Regulatory advice

  • Accounting advice

  • Professional consulting services

 

2.4 Customer remains solely responsible for:

  • Accuracy of uploaded data

  • Regulatory compliance

  • Reporting submissions to authorities

  • Decisions made based on Platform outputs

 

3. Account Registration

 

3.1 Customer must provide accurate corporate information.

 

3.2 Customer is responsible for:

  • User access management

  • Security of login credentials

  • All activity under its account

 

3.3 CarbonFlow may suspend or terminate accounts for:

  • Non-payment

  • Misuse

  • Security risks

  • Reputational harm

  • Breach of these Terms

 

4. Subscriptions & Payment

 

4.1 Subscriptions may be:

  • Monthly

  • Annual

  • Pilot

  • Free trial

 

4.2 Payments are processed via Stripe.

 

4.3 Monthly subscriptions:

  • 14-day cancellation notice required.

  • If notice is given fewer than 14 days before renewal, cancellation takes effect at the end of the next billing cycle.

 

4.4 No refunds are provided.

 

4.5 Failure to pay may result in suspension.

 

5. Data Ownership & Rights

 

5.1 Customer retains full ownership of Customer Data.

 

5.2 CarbonFlow retains ownership of:

  • Platform IP

  • Algorithms

  • Benchmarking methodologies

  • Aggregated datasets

  • Anonymised Data

  • AI models and outputs

 

5.3 CarbonFlow may use Anonymised Data for:

  • Benchmarking

  • Platform improvement

  • Research

  • Statistical reporting

 

5.4 Customer grants CarbonFlow a licence to process Customer Data for providing Services.

 

6. AI & Automated Outputs

 

6.1 The Platform uses artificial intelligence and automated analytics.

 

6.2 AI-generated content:

  • May contain errors

  • Is based on data provided

  • Should not be solely relied upon

 

6.3 Customer must independently verify outputs before regulatory submission.

 

6.4 CarbonFlow makes no warranty that AI outputs are:

  • Complete

  • Accurate

  • Regulation-compliant

  • Fit for specific jurisdictional use

 

7. Data Storage & Residency

 

7.1 CarbonFlow uses Amazon Web Services (AWS).

 

7.2 Where contracted, data may be hosted in specific regions including UAE-based infrastructure.

 

7.3 CarbonFlow applies commercially reasonable security measures.

 

7.4 No system is guaranteed to be 100% secure.

 

8. Confidentiality

 

Both parties agree to maintain confidentiality of non-public business information.

This obligation survives termination.

 

9. Acceptable Use

 

Customer shall not:

  • Reverse engineer the Platform

  • Attempt unauthorised access

  • Upload unlawful content

  • Use the Platform for competitive analysis

  • Resell the Platform without written agreement

 

10. Limitation of Liability

 

10.1 Nothing excludes liability for:

  • Fraud

  • Death or personal injury caused by negligence

 

10.2 Subject to clause 10.1:

 

CarbonFlow’s total liability shall not exceed the fees paid by Customer in the 12 months preceding the claim.

 

10.3 CarbonFlow shall not be liable for:

  • Indirect losses

  • Consequential damages

  • Loss of profits

  • Loss of contracts

  • Regulatory penalties

  • Business interruption

 

11. Indemnification

 

Customer agrees to indemnify CarbonFlow against claims arising from:

  • Inaccurate Customer Data

  • Regulatory submissions made by Customer

  • Misuse of the Platform

 

12. Term & Termination

 

12.1 Subscription continues until cancelled.

 

12.2 Upon termination:

  • Customer has 30 days to download data.

  • CarbonFlow will retain Customer Data for 12 months.

  • After 12 months, data may be permanently deleted.

 

12.3 Re-subscription within 12 months may restore historical data.

 

13. Intellectual Property

 

All intellectual property rights in the Platform remain with CarbonFlow.

No rights are transferred except as expressly stated.

 

14. Service Levels

 

CarbonFlow provides Services on a “commercially reasonable efforts” basis.

No uptime guarantee is provided unless specified in a separate SLA.

 

15. Amendments

 

CarbonFlow may update these Terms with notice.

Continued use constitutes acceptance.

 

16. Governing Law

​

These Terms are governed by the laws of England and Wales.

Courts of England and Wales have exclusive jurisdiction.
